Terms of Service

1. Services

Spotlighted provides services as described in the Offer/Quote. As projects develop, scope may change, requiring discussion to agree on variations.

2. Revisions

We provide two rounds of revisions on all items for each milestone at no additional cost. Additional revisions beyond two rounds are charged hourly at €100/hour. Changes outside original scope receive revised quotes.

3. Client Responsibilities

Clients must provide complete, accurate information promptly. All provided information is assumed accurate unless stated otherwise.

The client undertakes to give feedback within 48 hours of receipt. Feedback must relate to the original work; out-of-scope feedback constitutes additional work.

4. Termination

Either party may terminate with written notice. Terminating clients pay for completed work plus incurred costs. Terminating agencies refund prepaid fees, bill completed work, and deliver materials within 7 days.

5. Force Majeure

Spotlighted is not liable for delays from circumstances beyond reasonable control.

6. Payment Terms

Invoices shall be settled by bank transfer into Spotlighted's nominated bank account within 30 days of the invoice date unless agreed otherwise. Spotlighted retains ownership of all work until full payment.

Hourly rate: €100/hour for design, 3D, copywriting, research, and project management.

Deposit: Minimum 50% deposit required before work starts.

Milestones: Invoicing occurs upon milestone completion, with payment required before subsequent work begins.

7. Content

Clients provide business information and materials. Spotlighted takes no responsibility for errors in content supplied by the client. Text should be in Microsoft Word or Google Doc format; images minimum 300dpi in JPEG, GIF, TIFF, PNG, or PSD.

All images supplied are assumed to be owned by the client or properly licensed. Clients indemnify Spotlighted against copyright claims.

8. Confidentiality

Spotlighted maintains confidentiality unless required by law or with permission, disclosing information to service providers, affiliates, and delegated parties as necessary.

9. Intellectual Property

Client owns creative works upon full payment, except Spotlighted-retained intellectual property. Spotlighted retains portfolio showcase rights for agreed materials without sensitive information disclosure.

Spotlighted may develop or use for other clients any ideas, concepts, source code, information or know-how reflected in any of the materials provided.

Spotlighted owns the legal copyright of working files. These are not released without separate agreement.

10. Guarantees

Spotlighted delivers high-quality work per the Quote/Proposal using expertise, but cannot guarantee specific results or outcomes, as these are heavily dependent on the client's collaboration and input.

11. Indemnity

All services may be used for lawful purposes only. You agree to indemnify and hold Spotlighted harmless from any claims resulting from your use of our service.

12. Liability

Total liability does not exceed fees paid. No liability for profit loss, goodwill, or consequential damages.

Spotlighted accepts no responsibility for typographical errors, spelling mistakes, or incorrect information. Client responsibility includes proofreading before production.

13. Variation

These terms may be varied by written agreement without affecting accrued rights or obligations.
